How Ajira Telematics is owned, led and governed — the board, the executive, the standards we hold ourselves to, and how to raise a concern. Written for the people who have to assure a supplier before they can award a contract.
The people below are accountable for what Ajira promises a fleet owner: that the hardware is fitted properly, that the platform tells the truth, that the data is handled lawfully, and that someone picks up the phone when a vehicle is off the road.

How the board is composed
Ajira is a private company, and Kenyan company law would permit a far smaller board. We follow the listed-company standard instead, because the fleets and public bodies we contract with assure their suppliers against it.
Principle
How Ajira applies it
The chair is not the chief executive
The Chairman is non-executive. The Managing Director runs the business and answers to the board for it.
Non-executives in the majority
4 of 7 directors are non-executive.
Independent directors above one third
3 independent non-executive directors sit on the board, none of whom has a commercial relationship with Ajira.
More than one executive on the board
The Managing Director, the Finance Director and the Chief Technology Officer all sit as executive directors, so the board has three direct lines into management rather than relying on written reports alone.
Skills matched to the risks
The independent seats are filled for audit and risk, AI and data engineering, and strategic oversight of the company's transformation and growth — the areas where this business can actually come unstuck.
A board small enough to decide
7 directors. Large enough to staff the committees, small enough that every director is expected to have read the papers.
Board committees
Each committee reports to the board and has written terms of reference, available to clients and tender committees on request. Board appointments, succession and executive remuneration are reserved to the full board, with executive directors excluded from decisions on their own pay.
Audit & Risk
Three independent non-executive directors, chaired by one of them. Reviews the accounts, internal controls, the risk register including cyber risk, insurance cover and any whistleblowing report, and meets the auditors without management present.
Safety, Compliance & Data Protection
Oversees road-safety performance across client fleets, NTSA, KEBS and EPRA obligations, and Ajira's duties as a data controller and processor. The Data Protection Officer has a direct line to this committee.
The Company Secretary is secretary to the board and to each committee, and is responsible for statutory filings, minutes and the directors' register.

How the company is run
Ajira is privately held and operates a two-tier structure: a board that sets direction and holds the business to account, and an executive that runs it day to day.
The board
Sets strategy and risk appetite, approves the annual budget and major commitments, appoints and oversees the executive, and reviews safety, compliance and data-protection performance.
The executive
Runs operations, installation, the Command Centre, technical support, commercial and finance against the plan the board has approved, and reports performance back to it.
Assurance
Data protection, health and safety, and quality of installation are owned by named people inside the executive, not left to whoever is closest to the problem.
The standards we hold ourselves to
These are commitments, not marketing. If any of them is not being met on your account, raise it using the route at the foot of this page and it will reach the Managing Director.
Area
Our commitment
Anti-bribery and corruption
We do not offer, pay, solicit or accept bribes, kickbacks or facilitation payments, directly or through an intermediary, to win or keep business — including in public procurement. Staff and subcontractors who do so are dismissed.
Conflicts of interest
Anyone involved in a quotation or a tender declares any personal or financial interest in the outcome before taking part in it.
Fair dealing and tendering
We bid on our own merits. We do not collude on price, rig bids, or share a competitor's confidential information.
Health, safety and road safety
Our installers work to a documented fitting standard, and our safety reporting for clients is aligned to ISO 39001 road-traffic safety management.
Quality of installation
Every unit is fitted by an Ajira technician to the manufacturer's specification and, for speed limiters, to KEBS KS 2295. Workmanship is covered by the warranty.
Data protection and privacy
We hold fleet and driver data on behalf of our clients under a written data-processing agreement, with event-only video upload, role-based access and defined retention. Privacy Notice
Information security
Platform access is role-based and individually credentialed. Footage and location data are released only to the people the client has authorised.
Suppliers and subcontractors
Subcontracted installers work to the same fitting, conduct and data-protection standards as our own technicians, and are supervised by Ajira.
Speaking up
Anyone — staff, client, driver or supplier — can report a concern without fear of retaliation, and we will not penalise a client or a driver for raising one.
Written copies of our governance, safety and data-protection documentation are provided with tender submissions and to clients on request.
Raising a concern
If you believe someone at Ajira — or anyone acting for us — has breached one of the commitments above, tell us. Reports can be made by phone, by WhatsApp or through the contact form, and are directed to the Managing Director. You may ask for your report to be treated in confidence. We do not retaliate against anyone who raises a concern in good faith.
Procurement teams and HSE managers usually need the same pack: approvals, data-protection position, warranty and service terms, insurance, installation standard and references. Ask and we will send it in one go, with the company profile, rather than making you chase it a document at a time.
We fit ten of your vehicles at your depot, you keep operating, and at week six you get a written baseline-versus-pilot report and a fixed fleet-wide price.
